Hot water heater

I've just recd quotes for around $600 to replace a hot water heater which sounds high to me -- now I live in Berkeley where you need a $70 permit just to install 40 gallons of heated H2O but what's the big deal to replacing (after draining) one 40 gal with another (newer) one? I know some code upgrades are necessary like better venting pipes, and a pressure relief "hose" that needs to go outside the basement but aside from $200-$300 for the heater (plus $35 delivery) why so much?
